Corporate Lawyer

Job Summary

The United Al Saqer Group (UASG), one of the leading multi-sector business groups established in 1980, is seeking an exceptional and ambitious Corporate Lawyer to join its in-house legal department.

This is a challenging and pivotal role responsible for leading and supporting a wide spectrum of legal, transactional, compliance, and corporate governance matters. The successful candidate will safeguard the Group's business interests and optimize profitability by providing expert, contextual legal advice across its diverse portfolio of companies.

Key Responsibilities

• Corporate & Commercial Agreements: Lead the drafting, negotiation, interpretation, and review of a broad range of legal documents and commercial agreements. This includes, but is not limited to:
• Memorandums of Association (MOAs), Articles of Association (AOAs), and company restructuring documents.
• Shareholders Agreements, Business/Assets/Shares Purchase Agreements, and Joint Ventures (JVs).
• Exclusive & Non-Exclusive Distribution/Commercial Agent Agreements, and real estate instruments.
• Operations & Risk Management: Identify, assess, and provide practical legal solutions against risks involved in various business agreements across the Group’s multi-jurisdictional operations.
• Company Formation & Structuring: Advise on all aspects of company formation, winding up, and corporate ownership restructures within the UAE and other relevant jurisdictions, ensuring commercial alignment.
• Compliance & Governance: Implement and maintain appropriate corporate governance and compliance structures, advising on matters such as Assembly Resolutions, meeting conventions, quorum, and voting eligibility.
• Legal Trends & Advice: Provide accurate and innovative advice on UAE laws, governmental regulations, and commercial rules, keeping the Group abreast of all new and proposed relevant legislation.
• Management Support: Prepare legal opinions and propose viable solutions to enable senior management and the Chief Legal Officer to make informed strategic decisions.
